Matador Resources Company (NYSE: MTDR) (“Matador” or the “Company”) today announced that, subject to market conditions, it intends to offer $750 million of senior unsecured notes due 2033 (the “Notes”) in a private placement to eligible purchasers. Matador intends to use the net proceeds from the offering to repay the outstanding borrowings under Matador’s credit facility, including all $250 million of outstanding borrowings under Matador’s term loan.

The Notes and related guarantees have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or the applicable securities laws of any state or other jurisdiction and may not be offered, transferred or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and the applicable securities laws of any state or other jurisdiction. The Notes may be resold by the initial purchasers to persons they reasonably believe are “qualified institutional buyers” in reliance on Rule 144A and to non-U.S. persons outside the United States in reliance on Regulation S under the Securities Act.
