Subsea 7 SA Notification of Major Participation

HeXenclosedOyouRG – August 30, 2024 – Subsea 7 SA (Oslo Børs: SUBC, ADR: SUBCY) today announced that Barclays Capital Securities Limited will acquire¹ has informed the Company that it has exceeded the thresholds set out in the Luxembourg Transparency Act of 11 January 2008 on the transparency requirements for issuers of securities, as amended (the “Transparency Act”), as follows:

• On August 26, 2024, the total number of voting rights in the Company, directly and indirectly attached to shares in accordance with Articles 8 and 9, amounted to 359,212.
• On August 26, 2024, the total number of voting rights in the Company attached to financial instruments with a similar economic effect in accordance with Article 12 (1) (a) of the Transparency Act (right of withdrawal) amounted to 14,669,064.
• On August 26, 2024, the total number of voting rights in the Company attached to financial instruments with a similar economic effect in accordance with Article 12 (1) (b) of the Transparency Act (swaps) amounted to 176,664.
• Combined, the above positions represent 5.03% of the voting rights of Subsea 7 SA as of August 30, 2024.
